GoPro merged with Starman Optical - 285 million USD

GoPro and Starman Optical have just agreed to a merger worth $285 million. Under the deal announced Tuesday, Starman pays $1.14 per share. Current GoPro shareholders will hold about 10% of the merged company. The deal is expected to close in 2026, pending shareholders and regulators. Approximately $92 million of GoPro's debt will be forgiven in the transaction. An action cam company that IPO'd at 24 USD/share in 2014, is now being bought at a very low price, only 1.14 USD/share. Will this deal revive an overly conservative company with this sky-high salary CEO?
GoPro runs out on its own?
GoPro is the company that defines what an action cam is, the rectangular shape with a round front lens that almost 95.69% of current actioncam models have come from the GoPro Hero line. After that, they tried to follow drones and 360-degree cameras and then received too many failures. The drones had a serious reputation, the 360 cameras were too lackluster, the app was weak, there was nothing to compete with Insta360, and the price was not cheap.
New direction
Announced plan: combine GoPro's imaging technology and intellectual property with Starman's optics/photonics business. Starman's Photonics is a group of technologies that create, control, and capture light - used for communications, imaging, and computing.
